These terms govern access to Adelphos websites, applications, calculators, APIs, MCP services, engineering tools and paid plans (the "Service"). The Service is supplied by Jones and Hood Engineering Consultants Ltd, trading as Adelphos, a company registered in Scotland under number SC618419 with registered office at 5 South Charlotte Street, Edinburgh, Scotland, EH2 4AN.
By creating an account, using the Service or buying a plan, you agree to these terms and our Privacy Policy. If you act for an organisation, you confirm that you have authority to bind it. You must be at least 18 and legally able to enter this agreement.
You must provide accurate information, protect credentials and promptly report suspected unauthorised access. Accounts and seats may not be shared outside the licensed organisation. You are responsible for activity carried out through your account except to the extent caused by our breach.
Plan prices, included usage and billing periods are shown at purchase. Prices are in GBP and exclude VAT unless stated otherwise. Stripe processes payment details and may present payment methods based on currency, location, eligibility and the live Stripe configuration. Subscriptions renew automatically for the stated billing period until cancelled. We will not impose an unapproved usage overage charge; when included usage is exhausted, the Service may pause paid operations or offer an explicit top-up or upgrade.
Pay-as-you-go credit is applied only after a signed Stripe event confirms payment. Credit is not cash, is not transferable and is consumed by measured Adelphos use. Usage can vary with model, context, files and tool calls. Browser redirects, screenshots or receipts alone do not grant entitlement.
You may cancel a subscription through the Stripe customer portal. Unless law requires otherwise, cancellation takes effect at the end of the current paid billing period and amounts already paid are not prorated. Duplicate charges, billing errors and unused pay-as-you-go credit will be considered under our Cancellation and Refund Policy. Nothing in these terms limits mandatory consumer rights.
You must not use the Service unlawfully; compromise security; bypass usage, licensing or access controls; probe or disrupt infrastructure; upload material you lack authority to use; infringe rights; distribute malware; misrepresent automated output as independently verified; or use the Service to make prohibited, harmful or deceptive decisions. Reasonable rate, file, model and safety limits may be applied to protect users and the Service.
Adelphos assists professional work but does not replace the designer, engineer, assessor, contractor, statutory authority or competent person. Outputs may contain errors or depend on incomplete, outdated or unsuitable inputs. You are responsible for checking every input, assumption, standard, calculation, result, drawing and report; confirming the applicable jurisdiction and revision; obtaining competent review; and deciding whether an output is suitable for design, construction, certification, issue or reliance.
Public calculators provide focused calculations only. They do not reproduce restricted product selectors or recommend a manufacturer product. No output is a warranty of regulatory approval, code compliance, fitness for purpose or professional certification.
You retain ownership of content you submit. You grant us the limited rights needed to host, process, transmit and reproduce that content to provide, secure and support the Service. You confirm that you have the required rights and permissions. Each party must protect the other's confidential information and may disclose it only as required to provide the Service or by law.
The Service, software, interfaces, documentation, branding and underlying methods are owned by us or our licensors. Subject to payment and these terms, we grant you a limited, non-exclusive, non-transferable right to use the Service during the applicable plan. No source code, model, database, tool definition or intellectual-property right is transferred unless a written agreement expressly says so.
We aim to provide a reliable Service but do not promise uninterrupted or error-free availability. We may change, suspend or retire features for security, legal, supplier or technical reasons. Material changes affecting a paid plan will be communicated reasonably in advance where practicable. Preview, beta and experimental features may change and should not be relied on for production work.
We may suspend access where reasonably necessary to address non-payment, security risk, unlawful use, material breach or harm to the Service or others. Either party may terminate for an unremedied material breach. On termination, access ends and outstanding amounts remain payable. Sections intended to survive, including payment, ownership, confidentiality, disclaimers and liability, continue to apply.
Nothing excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Subject to that, neither party is liable for indirect or consequential loss, loss of profit, revenue, savings, goodwill, business opportunity or data. For business customers, our total aggregate liability arising from the Service in any 12-month period is limited to the fees paid or payable for the Service during that period. These limits do not reduce any mandatory rights available to a consumer.
Neither party is liable for delay caused by events beyond its reasonable control. You may not assign this agreement without our consent; we may assign it as part of a reorganisation or transfer of the Service. If a provision is unenforceable, the remainder continues. Delay in enforcing a right is not a waiver. These terms, the order shown at Checkout and referenced policies form the agreement for the Service.
These terms are governed by Scots law and the Scottish courts have exclusive jurisdiction, except that a consumer may retain mandatory rights to bring proceedings in their home jurisdiction.
